Andrew Ray represents public and private companies and financial sponsors in a broad range of corporate and finance matters. He has extensive experience in the energy, clean technology, project finance, telecommunications, media and technology (TMT) and government contracts sectors. Since 2009, Andy has been designated a Leading Lawyer by the publication Best Lawyers in America.

Prior to joining the firm, Andy served as a clerk to the Hon. James M. Sprouse of the United States Court of Appeals for the Fourth Circuit. Andy has taught at George Mason University School of Law as an adjunct professor and is a frequent speaker on topics including corporate finance, private equity and mergers and acquisitions. Andy is a native of Buffalo, N.Y.

· Represented co-developer in a $1 billion financing to build the largest new power plant in New York City in 25 years

· Represented solar power project developer in connection with multiple joint ventures

· Represented developer in connection with development and financing of a Hawaiian biomass project

Telecommunications, Media & Technology

· Represented Scaleform Corporation, a developer of videogame middleware, in its sale to Autodesk, Inc. (NYSE: ADSK)

· Represented government contractors AppTek Partners, Applications Technology and MediaMind, affiliated speech translation companies, in the sale of their technology, IP and other assets to Science Applications International Corporation (NYSE: SAIC)

· Represented Fibertech Networks, a Nautic Partners and Ridgemont Equity Partners portfolio company, in its $500 million sale to Court Square Capital

· Represented Excel Communications, a Denham Capital portfolio company, in its sale to Matrix Telecom, a Platinum Equity portfolio company

· Represented CIMCO Communications, a Chicago-based CLEC, in its sale to Comcast

· Represented Harbinger Capital Partners, the largest shareholder of TerreStar Corporation (NASDAQ: TSTR), in connection with its $300 million financing and 1.4 Ghz spectrum acquisition from Harbinger and EchoStar Corporation

· Represented XL Health Corporation in connection with the spin-off of its Leprechaun subsidiary

· Represented the special committee of the board of directors of Inter-Tel Inc., in its response to an unsolicited acquisition offer from a hedge fund

· Represented the administrator of Vanco plc in connection with the sale of its U.S. telecom subsidiary

· Represented WorldCell Inc. in connection with the sale of its Roaming Service Bureau business to MACH, a Luxembourg-based Warburg Pincus portfolio company

· Represented Cogent Communications Group Inc. (NASDAQ: CCOI) in the acquisition of the U.S. assets of PSINet Inc.

· Represented Paetec (NASDAQ: PAET)(formerly US Lec Corporation) in its acquisitions of Starnet and Fastnet

· Represented MCG Capital Corporation and Cleartel Communications in its acquisitions of IDS Telcom, Nii communications and Supra Telecom

Government Contractors

· Represented government contractors AppTek Partners, Applications Technology and MediaMind, affiliated speech translation companies, in the sale of their technology, IP and other assets to Science Applications International Corporation (NYSE: SAIC)

· Represented the management team in connection with the $22 million management buyout of the Preparedness Services Division of GlobalOptions Group Inc. (NASDAQ: GLOI)

· Represented a government contractor in its stock purchase of a Canadian surveillance technology and data processing company

· Represented a government contractor in its acquisition of substantially all the assets of a provider of secure access technology for voice and data networks
